Long before the spectacular collapse of Bre-X in 1997, the Canadian capital markets had their share of swindlers and crooks. In the boom times after Second World War, hard-sell speculative mining ventures, pushing what often amounted to a few acres of moose pasture, riddled over-the-counter markets and the TSE. It was in this context that the Ontario Securities Commission developed into Canada's leading securities regulator. Following the war, the OSC concerned itself primarily with fraudsters and attempts to reign in Toronto's boiler rooms, but by the mid-sixties increasingly sophisticated markets and a series of scandals culminating in the Windfall affair resulted in a rewriting of the Securities Act and a widening of the OSC's investor protection mandate. The seventies tested the Commission's new powers as increased corporate merger activity brought the phrase "insider-trading" into the popular lexicon. Surprisingly, considering that capital markets have such a profound impact on Canada's well-being, this is the first thorough study of the their post-war evolution and regulation. Blue Skies and Boiler Rooms describes the evolution of the securities market in Canada, from the onset of trading, through the boom of the 1920s and the depression of the 1930s, to the outbreak of the Second World War. The book documents the problems of fraud, misrepresentation, and manipulation of prices, which plagued the securities industry from the outset and which eventually led to market regulation, first by the stock exchanges and later, after the First World War, by governments. Some people argued that regulation to prevent abuses should be modelled on the American ‘blue sky’ legislation, so named after the promises of smooth-talking con men in fly-by-night operations who victimized the unwary with sales pitches offering shares in virtually anything. Even ‘the blue sky above.’ Such legislation became necessary as shady types marketed shares of doubtful value through ‘boiler rooms,’ which used high-pressure mail and telephone selling methods to separate people from their money. This is a tale well told, with a splendid cast of crooks and raffish characters. It is also an in-depth study based on extensive primary research that captures the distinctiveness of the development of the Canadian securities market. This volume aims to explore the long-term evolution of different varieties of large enterprises in today's developed economies. It focuses on the economic institution of business groups and attempts to comprehend the factors behind their rise, growth, struggle, and resilience; their behavioral and organizational characteristics; and their roles in national economic development. The volume seeks to enhance the scholarly and policy-oriented understanding of business groups in developed economies by bringing together state-of-the-art research on the characteristics and contributions of large enterprises in an evolutionary perspective. While business groups are a dominant and critical organization model in contemporary emerging economies and have lately attracted much attention in academic circles and business presses, their counterparts in developed economies have not been systematically examined. This book aims to fill this gap in the literature and is the first scholarly attempt to explore the evolutional paths and contemporary roles of business groups in developed economies from an internationally comparative perspective. In doing so, it argues that business groups actually rose to function as a critical factor of industrial dynamics in the context of Second Industrial Revolution in the late nineteenth century. They have adapted their characteristic roles and transformed to fit to the changing market and institutional settings. While allegations of regulatory failure in this realm are commonplace and are well documented in policy and legal scholarship, James Williams seeks to move beyond these conventional accounts arguing that they are based on a limited view of the regulatory process and overlook the actual practices and dilemmas of enforcement work. Informed by interviews with police, regulators, lawyers, accountants, and investor advocates, along with a wealth of documentary materials, the book is rooted in a uniquely interdisciplinary social science perspective. Peering inside the black box of enforcement, it examines the organizational, professional, geographical, technological, and legal influences that shape securities enforcement as a distinctly knowledge-based enterprise. The result of these influences, Williams argues, is the production of a very particular vision of financial disorder which captures certain forms of misconduct while overlooking others, a reflection not of incompetence or capture but of the unique demands and constraints of the regulatory craft.
